IMPORTANT: PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN A MANDATORY ARBITRATION PROVISION AND CLASS ACTION WAIVER THAT AFFECT YOUR LEGAL RIGHTS.
This Terms of Use Agreement ("Terms") constitutes a legally binding contract between you ("You" or "User") and The International Guild of Travel Professionals (collectively with its affiliates, subsidiaries, officers, directors, and employees, "IGTP," "we," "us," or "our").
1.1. Contracting Entities
If you reside in the United Kingdom or the European Economic Area (EEA): You are entering into this Agreement with The International Guild for Travel Professionals Ltd, a limited company registered in England and Wales, located at 2nd Floor, Berkeley Square House, Berkeley Square, London W1J 6BD.
If you reside in the United States or any other country not listed above: You are entering into this Agreement with The International Guild of Travel Professionals LLC, a Florida Limited Liability Company, located at 200 S Biscayne Blvd, Miami, FL 33131, USA.
By accessing, browsing, or using the websites located at igtp.travel (the "Site"), or by logging into any member portal, mobile application, or associated digital service (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms, whether or not you are a registered member of IGTP.
IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST IMMEDIATELY CEASE USE OF THE SITE AND SERVICES.
We reserve the right, at our sole discretion, to change, modify, add, or remove portions of these Terms at any time. If we do, we will post the changes on this page and indicate the date these terms were last revised. Your continued use of the Site or Services after any such changes constitutes your acceptance of the new Terms. It is your responsibility to check these Terms periodically for changes.
2.1. Eligibility
The Site and Services are intended solely for users who are at least 18 years of age. By using the Site, you represent and warrant that you are of legal age to form a binding contract with IGTP and meet all eligibility requirements. If you are accessing the Site on behalf of a legal entity (e.g., a travel agency or supplier), you represent that you have the authority to bind that entity to these Terms.
2.2. User Accounts and Security
Certain sections of the Site require you to register for an account using a unique username and password ("Login Information"). You are entirely responsible for maintaining the confidentiality of your Login Information. You may not share your Login Information with any third party, nor may you allow any third party (including agents, assistants, or colleagues) to access your account.You agree to notify IGTP immediately of any unauthorized use of your account or any other breach of security. IGTP will not be liable for any loss that you may incur as a result of someone else using your password or account, either with or without your knowledge. However, you could be held liable for losses incurred by IGTP or another party due to someone else using your account or password.
3.1. Ownership
All content, features, and functionality on the Site—including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, software, and the "look and feel" of the Site (collectively, "IGTP Intellectual Property")—are the exclusive property of IGTP, its licensors, or other content providers and are protected by United States, United Kingdom, and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
3.2. Limited License
Subject to your compliance with these Terms, IGTP grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Site for your personal, non-commercial use (or legitimate internal business purposes related to your IGTP membership).
3.3. Restrictions
You strictly agree that you will not:Reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Site, except as generally and ordinarily permitted through the Site’s normal functionality.Use any IGTP Intellectual Property, including the IGTP name, logo, or any related names, logos, product and service names, designs, and slogans, without the prior written permission of IGTP.Use any meta tags, hidden text, or metadata utilizing IGTP’s name or trademarks without our express written consent.Delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from this Site.Any use of the Site not expressly permitted by these Terms is a breach of these Terms and may violate copyright, trademark, and other laws.
You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree not to use the Site:
In any way that violates any applicable federal, state, local, or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the US, UK, or other countries).
For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by asking for personally identifiable information, or otherwise.
To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation.
To impersonate or attempt to impersonate IGTP, an IGTP employee, another user, or any other person or entity.
To engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the Site, or which, as determined by us, may harm IGTP or users of the Site or expose them to liability.
Additionally, you agree not to:
Use any robot, spider, or other automatic device, process, or means to access the Site for any purpose, including monitoring or copying any of the material on the Site.
Use any manual process to monitor or copy any of the material on the Site or for any other unauthorized purpose without our prior written consent.
Introduce any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Site, the server on which the Site is stored, or any server, computer, or database connected to the Site.
IGTP is a trade association comprised of competitors and potential competitors. It is the strict policy of IGTP to comply fully with all applicable antitrust and competition laws, including the Sherman Act (USA) and the Competition Act 1998 (UK).
Users of this Site are strictly prohibited from discussing, sharing, or agreeing upon:
Prices, rates, commissions, or fees charged to clients or paid to suppliers.
Allocation of customers, territories, or markets.
Refusals to deal with specific suppliers, vendors, or customers (group boycotts).
Any other topic that could be construed as an attempt to restrain trade or reduce competition.
IGTP assumes no responsibility for monitoring such communications but reserves the right to immediately terminate the membership and access of any user found to be engaging in anti-competitive behavior.
YOUR USE OF THE SITE, ITS CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE SITE IS AT YOUR OWN RISK. THE SITE, ITS CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
IGTP DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR PARTICULAR PURPOSE.
WITHOUT LIMITING THE FOREGOING, IGTP DOES NOT WARRANT THAT THE SITE, ITS CONTENT, OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SITE WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT OUR SITE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE SITE OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SITE WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS.
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL IGTP, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SITE, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE SITE, OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.
For our Members in the UK/EEA: Nothing in this clause excludes or limits our liability for death or personal injury arising from our negligence, or our fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.
You agree to defend, indemnify, and hold harmless IGTP, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
Your violation of these Terms or the Code of Ethics.
Your use of the Site, including, but not limited to, your User Contributions, any use of the Site's content, services, and products other than as expressly authorized in these Terms.
Your violation of any third-party right, including without limitation any copyright, property, or privacy right.This indemnification obligation will survive the termination of your account and these Terms.
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHTS.
9.1. Binding Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by binding arbitration rather than in court, except that you may assert claims in small claims court if your claims qualify.
9.2. No Class Actions
YOU AND IGTP AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Further, unless both you and IGTP agree otherwise, the arbitrator may not consolidate more than one person’s claims with your claims and may not otherwise preside over any form of a representative or class proceeding.
9.3. Jurisdiction and Venue
For Users in the United States and Rest of World (excluding UK/EEA): The arbitration shall be administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The place of arbitration shall be Miami, Florida. Judgment on the award may be entered in any court having jurisdiction.
For Users in the UK and EEA: Any dispute arising out of or in connection with this agreement, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration under the LCIA Rules. The seat, or legal place, of arbitration shall be London, England.
10.1. Geographic Restrictions
The owner of the Site is based in the State of Florida in the United States and London in the United Kingdom. We make no claims that the Site or any of its content is accessible or appropriate outside of these jurisdictions. Access to the Site may not be legal by certain persons or in certain countries. If you access the Site from outside the United States or United Kingdom, you do so on your own initiative and are responsible for compliance with local laws.
10.2. Waiver and Severability
No waiver by IGTP of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of IGTP to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.
10.3. Entire Agreement
The Terms of Use, our Privacy Policy, and our Code of Ethics constitute the sole and entire agreement between you and IGTP with respect to the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to the Site.
